Terms of Service

1. Acceptance of Terms

By accessing or using podiumbase.io (the ‘Platform’), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. The Platform

PodiumBase is an online marketplace and event platform that connects race photographers (‘Providers’), event organizers, race participants (‘Athletes’), and other buyers. Providers may upload event photographs; Athletes and buyers may register for participating events and search, view, and purchase licenses to use event photographs for personal use.

3. Account Registration

You may register as an Athlete, a Provider, a Race Director, or a Sponsor. You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account.

4. Photographer (Provider) Obligations

Providers must (a) own the copyright in or have full rights to license all uploaded content, (b) refrain from uploading content depicting minors without verifiable parental consent, (c) refrain from uploading any content that is unlawful, defamatory, obscene, or violates the privacy of any depicted person, (d) honor Platform-mediated sales and abide by Platform refund decisions.

5. Athlete and Buyer Rights

When you purchase a photo license through the Platform, you receive a personal-use license to the specific photograph(s) purchased. You may not resell, redistribute, or sublicense purchased photographs. Commercial licensing is not currently offered through the V1 Platform.

Providers retain copyright in their uploaded photographs. Providers grant the Platform a non-exclusive, worldwide license to host, reproduce, display, and distribute the photographs for the purpose of operating the Platform, fulfilling purchases, and marketing the Platform.

7. Payment Processing

All payments are processed by Stripe, Inc. (‘Stripe’). Your use of the Platform’s payment features is subject to the Stripe Connected Account Agreement and Stripe Services Agreement. The Platform is not responsible for Stripe’s services.

8. Event Registration, Organizers, and Deferrals

PodiumBase may process event registrations offered by independent event organizers. The organizer controls event eligibility, schedules, capacity, and whether a deferral request is approved. A request is not an approval and does not release the Athlete’s entry until the organizer approves it.

An approved deferral provides a one-time credit for the same Athlete to use on a future event from the same organization before the stated expiration date. The credit applies only to the future race-entry price. It is non-transferable, has no cash value, cannot produce a negative checkout total, and does not carry forward unused value, discounts, fees, add-ons, donations, merchandise, meals, parking, or photo packs. The Athlete pays any positive price difference and must submit current participant information and accept the future event’s waiver. Group registrations are not eligible under the current deferral program.

9. Refunds and Disputes

Refunds are handled per the Refund Policy at /legal/refunds. Disputes regarding photograph quality or content should be raised through the in-Platform dispute system within 14 days of purchase.

10. Prohibited Uses

You may not (a) reverse-engineer or scrape the Platform, (b) use the Platform to harass any person, (c) upload or download content that violates applicable law, (d) attempt to bypass paywalls or download protections.

11. Termination

We may suspend or terminate accounts that violate these Terms. You may delete your account at any time via account settings; deletion is subject to a retention period required by our payment processor and applicable tax law.

12. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED ‘AS IS’ WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM’S AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID THROUGH THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-Platform notification at least 30 days before the changes take effect.
